GoSurro DOES NOT CONDUCT BACKGROUND CHECKS OR OTHERWISE SCREEN USERS OF THE SERVICE IN ANY WAY. The services offered by GoSurro through the Service are limited to facilitating introductions between individuals through multiple user profile types including Organic connect, Donor, Recipient or Fertility Clinic. Organic connect is for those seeking romantic relationship. Donor is for those looking to donate sperm or egg, or provide surrogacy. Recipient is for those looking for donors of sperm, egg, surrogacy. Fertility clinic is for professional fertility services.

GoSurro strongly recommends that, if any user finds or is introduced to an individual who may be a suitable partner, donor, recipient, or fertility clinic, the user should take all reasonable and sensible precautions and steps to assess such individuals. Any information gained from questionnaires, tests, or communications through the Service is based solely upon information submitted by other users of the Service, and GoSurro makes no guarantees as to its correctness, completeness, or accuracy of such user-submitted information and cannot verify or otherwise ascertain the accuracy of such user-submitted information. Users are solely responsible for undertaking steps to check or otherwise ascertain the accuracy of any user-submitted information. Each user is solely responsible for the accuracy, legality, currency and compliance of its material and will be solely liable for false, misleading, inaccurate, infringing or other actionable material contained or referred to therein.

Although each member/subscriber/user must agree to these Terms of Use, GoSurro cannot guarantee that each member is at least the required minimum age, nor does GoSurro accept responsibility or liability for any content, communication or other use or access of the Service by persons under the age of 18 in violation of the Terms of Use. It is also possible that other members/subscribers/registrants or users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials through the Service and that you may be involuntarily exposed to such offensive or obscene materials. It is also possible for others to obtain personal information about you via your use of the Service. These individuals may use your information for purposes other than what you intended. GoSurro is not responsible for the use of any personal information that you disclose on the app or the Website. Please carefully select the type of information that you post on the Service or release to others. GoSurro DISCLAIMS ALL LIABILITY, REGARDLESS OF THE FORM OF ACTION, FOR THE ACTS OR OMISSIONS OF OTHER MEMBERS/SUBSCRIBERS/REGISTRANTS OR USERS (INCLUDING UNAUTHORIZED USERS), WHETHER SUCH ACTS OR OMISSIONS OCCUR DURING THE USE OF THE SERVICE OR OTHERWISE.

Although GoSurro attempts to maintain the integrity and accuracy of the information on the Service, GoSurro provides any services on an “as is” basis and makes no guarantees as to its correctness, completeness, or accuracy. The Service may contain typographical errors, inaccuracies, or other errors or omissions. Also, unauthorized additions, deletions, or alterations could be made to the Service by third parties without our knowledge. If you believe that information found on the Service is inaccurate or unauthorized, please inform GoSurro by contacting us via the information provided at the “Contact Us” at the bottom of the page. GoSurro specifically disclaims any implied warranties of merchantability or fitness for a particular purpose. Further, GoSurro does not warrant that your use of the service will be secure, uninterrupted, always available or error-free, or that the service will meet your requirements or that any defects in the service will be corrected. GoSurro disclaims liability for, and no warranty is made concerning, connectivity and availability.

Your Account and Responsibilities

1. By uploading, posting, or transmitting any content on the App, you grant GoSurro a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display such content for the purposes of operating and improving the App. You’re responsible for your use of the Services and any content you provide, including compliance with applicable laws. Content on the Services may be protected by others’ intellectual property rights. Please don’t copy, upload, download, or share content unless you have the right to do so.

2. You may need to register for an account to access some or all our Services. Help us keep your account protected. Safeguard your password to the account, and keep your account information current. We recommend that you do not share your password with others. If you’re accepting these Terms and using the Services on behalf of someone else (such as another person or entity), you represent that you’re authorized to do so, and in that case the words “you” or “your” in these Terms include that other person or entity.

3. To use our Services, you must be at least 18 years old. By using the App, you represent and warrant that you are 18 years of age or older.

4. You agree to use the GoSurro platform in compliance with all applicable laws and regulations in your country or state of residence. As a user of any of our four profile types—Organic Connect, Donor, Recipient, or Fertility Clinic—you are prohibited from using the platform to advertise or solicit the purchase or sale of products or services to other members. Additionally, transmitting chain letters, spam, or junk emails to other members is strictly forbidden.

5. You are solely responsible for your interactions with other users on the platform, regardless of your user profile. While GoSurro retains the right to monitor and mediate disputes between members if necessary, we are not obligated to do so. Users are encouraged to exercise discretion and engage with one another respectfully and in good faith.

6. Prohibited Activities: You shall not engage in any of the following activities:

   • Harassing, abusing, threatening, stalking or otherwise inappropriately contacting any other user of the Service;
   • Uploading, transmitting, or sharing any content that is defamatory, obscene, or violates the rights of other users or any third party;
   • Impersonating another person or entity;
   • Engaging in any fraudulent or deceptive activity;
   • Using the Service for any purpose in violation of local, state, national, or international laws;
   • Using the Service in a way that is intended to harm, or a reasonable person would understand would likely result in harm, to the user or others;

7. Safety Precautions: You are solely responsible for your interactions with other users of the App. We encourage you to exercise caution and use common sense when meeting and communicating with other users offline.

8. Intellectual Property: All intellectual property rights in the App and its content (excluding user-generated content) are owned by GoSurro or its licensors. You agree not to copy, modify, distribute, or create derivative works based on the App or its content without our prior written consent.

9. By registering as a Member, Subscriber, or Registrant on GoSurro, you acknowledge and consent to receiving communications initiated by GoSurro, including but not limited to: push notifications, alerts, message notifications, and emails related to updates, events, changes to the Service, or promotional offers provided by GoSurro or third-party partners. If you choose to respond to promotional offers from third parties and, in doing so, provide them with your information or permit them to collect information about you, their use of your information will be governed by their respective privacy policies.

If you do not wish to receive email communications from GoSurro, we advise against registering or subscribing to our Service. However, you retain the right to opt out of GoSurro-initiated email communications at any time by contacting us.

Terms of Use for Purchases and Subscriptions:

All purchases of services through GoSurro are governed by the following terms and conditions:

1. Subscription Plans and Rates:

   The current subscription and renewal rates offered by GoSurro are displayed on the Profile page of our app.

2. Refund Policy:
   • All purchases are final.
   • No refunds will be issued for unused portions of your subscription period.
   • No refunds will be provided if your subscription privileges are terminated due to a violation of our Terms of Use. Harassing, hostile, or offensive behavior, including the use of inappropriate language in communications with other users, constitutes grounds for immediate termination without refund.
   • Subscription privileges are non-refundable if you choose to suspend or cancel your membership.
3. Communication Disclaimer:

   While GoSurro will ensure your electronic communications are transmitted to the intended recipient’s inbox within our system, we cannot guarantee a response or engagement from the recipient. GoSurro makes no promises, representations, or warranties in this regard.

4. Automatic Subscription Renewals:

   By purchasing a subscription from GoSurro, you acknowledge, agree, and authorize us to automatically renew your subscription at the end of each billing interval (e.g., one week, one month, three months, six months, twelve months) based on the renewal rate and interval you selected during purchase.

   Automatic renewals and associated charges will occur at the end of each subscription interval for the same duration originally chosen by you. For example, if you purchase a three-month subscription, it will automatically renew for another three-month interval at the end of the initial term.

Limitation of Liability:

GoSurro does not conduct background checks or screen users of the Service in any way. Under no circumstances will GoSurro be liable to you or any other person for any incidental, consequential, or indirect damages (including, but not limited to, loss of data, loss of programs, costs of procuring substitute services, or service interruptions) arising from the use or inability to use the Service, even if GoSurro or its agents or representatives know or have been advised of the possibility of such damages.

Notwithstanding anything to the contrary, GoSurro’s liability to you for any cause, and regardless of the form of the action, will always be limited to the amount you paid, if any, to GoSurro for use of the Service during your membership or subscription. GoSurro will not be liable for any direct, indirect, incidental, or consequential damages, including but not limited to physical harm, bodily injury, or emotional distress, resulting from the use of the Service, including communications or interactions with other users or any individual you are introduced to via the service.

The limitation of liability outlined in this section does not apply in cases of a user’s breach or related indemnity obligations. This section does not affect the rights outlined in the “Indemnification” section.

Indemnification:

To the fullest extent permitted by applicable law, you will indemnify, defend and hold harmless GoSurro, and our officers, directors, agents, partners and employees (individually and collectively, the “GoSurro Services Inc.”) from and against any losses, liabilities, claims, demands, damages, expenses or costs (“Claims”) arising out of or related to your violation, misappropriation or infringement of any rights of another (including intellectual property rights or privacy rights) or your violation of the law. You agree to promptly notify GoSurro Services Inc. of any third-party Claims, cooperate with GoSurro Services Inc. in defending such Claims and pay all fees, costs and expenses associated with defending such Claims (including attorneys’ fees). You also agree that GoSurro Services Inc. will have control of the defense or settlement, at GoSurro’s sole option, of any third-party Claims.

Modifications and Termination:

1. We reserve the right to modify or discontinue the App, or any part thereof, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or termination of the App.

2. We may terminate or suspend your access to the GoSurro App immediately, without prior notice or liability, for any reason, including breach of these Terms.
3. You’re free to stop using our Services at any time.

Transfer and Processing Data

For us to provide our Services, you agree that we may process, transfer and store information about you in Canada and other countries, where you may not have the same rights and protections as you do under local law.

Resolution of Disputes- Binding Arbitration

We want to address your concerns without needing a formal legal case. Before filing a claim against GoSurro Services Inc., you agree to contact us and attempt to resolve the claim informally by sending a written notice of your claim by email to support@gosurro.com The notice must (a) include your name, residence address, email address, and telephone number; (b) describe the nature and basis of the claim; and (c) set forth the specific relief sought. Our notice to you shall be sent to the email address associated with your online account and shall contain the information described above. If we can’t resolve matters within forty-five (45) days after any notice is sent, either party may initiate a formal proceeding.

Please read the following section carefully because it requires you to arbitrate certain disputes and claims with GoSurro Services Inc. and limits the manner in which you can seek relief from us. No class or representative actions or arbitrations are allowed under this arbitration provision. In addition, arbitration precludes you from suing in court or having a jury trial.

1. No Representative Actions:

   You and GoSurro Service Inc. agree that any dispute arising out of or related to these Terms or our Services is personal to you and GoSurro and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action or any other type of representative proceeding.

2. Arbitration of Disputes:

   Except for small claims disputes in which you or GoSurro seeks to bring an individual action in small claims court located in the province or county where you reside or disputes in which you or GoSurro seeks injunctive or other equitable relief for the alleged infringement or misappropriation of intellectual property, you and GoSurro waive your rights to a jury trial and to have any other dispute arising out of or related to these Terms or our Services, including claims related to privacy and data security, (collectively, “Disputes”) resolved in court. All Disputes will be resolved through confidential, binding arbitration before one arbitrator. Arbitration proceedings will be held in Toronto, Ontario, Canada.

3. Class action Waiver:

   Any proceedings to resolve or litigate any Dispute in any forum will be conducted solely on an individual basis. Class arbitrations, class actions, private attorney general actions, consolidation of your Dispute with other arbitrations, or any other proceeding in which either party acts or proposes to act in a representative capacity or as a private attorney general are not permitted and are waived by you, and an arbitrator will have no jurisdiction to hear such claims. If a court or arbitrator finds that the class action waiver in this section is unenforceable as to all or some parts of a Dispute, then the class action waiver will not apply to those parts. Instead, those parts will be severed and proceed in a court of law, with the remaining parts proceeding in arbitration. If any other provision of this Dispute resolution section is found to be illegal or unenforceable, that provision will be severed with the remainder of this section remaining in full force and effect.

4. Costs:

   You and GoSurro Services Inc. agree that for any arbitration you initiate, you will pay all fees and costs. For any arbitration initiated by GoSurro Services Inc., GoSurro will pay all fees and costs.

5. Any Dispute must be filed within one year after the relevant claim arose; otherwise, the Dispute is permanently barred, which means that you and GoSurro will not have the right to assert the claim.

Governing Law and Venue

These Terms shall be governed by and construed by the laws of your residence jurisdiction. Any dispute arising out of or relating to these Terms and Privacy Policy or the App shall be submitted to confidential arbitration by the rules of GoSurro. The place of arbitration shall be Toronto, Ontario, CA and the language of the arbitration shall be English.

Amendments and Entire Agreement:

The Terms of Use (together with the Privacy Policy) represent the parties' entire understanding relating to the use of the Service and supersedes any prior or contemporaneous, conflicting or additional, communications. GoSurro reserves the right to change these Terms of Use or policies relating to the Service at any time and from time to time, and such changes will be effective upon being posted herein. You should visit this page from time to time to review the current Terms of Use because they are binding on you. If you don’t agree to the amended Terms, you must stop using our Services.
